1) PARTIES
Subject to User’s acceptance to this Agreement, this Agreement shall bind the User and Ju Xing Leisure . Terms as shall be spelled out by the Affiliate,will also be applicable to the User.

2) DEFINITION
‘Affiliate’ means any entity that’s affiliated with Ju Xing Leisure directly or indirectly controls, is controlled by, or is under common control with Ju Xing Leisure or Content Provider of the Website; Affiliate may spell out the terms that govern User’s (i.e., customer, website visitor, artist, dancer, client, label, brand, etc.) use of the Website to the extent that is related to it; ‘Content’ means the content of the Website including but not limited to digital downloads of sound recordings, photographs, streamed sound recordings and related digital content, including songs, images, downloads or samples, and all software, artwork, graphics, video, text, editorials and news, interfaces, trademarks, logos, photographs, and any other element of the Website, including the layout, look and feel, organization, and coordination of such Content on the Website; the Content is the property of and or is licensed to Ju Xing Leisure, and is protected by Malaysian and international trademark, trade dress, copyright, and other intellectual property rights laws, unless otherwise specified. Some of the Content is ‘Product’, which is certain Content made available by Ju Xing Leisure for streaming, purchase and/or download. The Content is only for User’s personal, non‐commercial use, except for those Products provided for by Ju Xing Leisure. ‘Content Provider’ means the party that provides the Content to the Platform. Ju Xing Leisure is also a Content Provider as it makes available certain Content for streaming, purchase and/or download; ‘Download’ is a purchased Product that User can
(1) transfer to a compatible portable device,
(2) save to User’s hard drive with unlimited playback time, or
(3) burn to a CD/DVD, in each case for personal private use only and not for commercial or public use or distribution. Ju Xing Leisure shall have no liability for lost, damaged, or destroyed Downloads. Any security technology that is provided with a Download is an inseparable part of the Download. The Download capability does not operate to limit any rights of the copyright owners in a Product or any works embodied in them. ‘Platform’ means the website that is developed and provided by Ju Xing Leisure including but not limited to streaming service, music download store, label profiles, news/media service, event listings or other services located at the Platform owned by Ju Xing Leisure, either in mobile version, IOS or Android application; ‘Preview’ is a promotional portion of a sound recording which is made available to User by Streaming while the User is on the Website. Previews may also consist of promotional music video. Previews are offered at no cost to User via Streaming.User may play as many Previews as it likes; ‘Ju Xing Leisure’ means Ju Xing Leisure Sdn. Bhd. (Company No. 1524863-W);Streaming’ means the digital transmission of a sound recording of a musical work to an end user over the Internet where the content may be heard or viewed, but not downloaded for later playback;
1.1. Any version of these Terms and Conditions in a language other than English is provided for convenience only and the English language version will prevail if there is any conflict;
1.2. Words importing the masculine gender shall include the feminine and neuter genders and words importing the singular shall include the plural and vice versa;
1.3. The jurisdiction/territory of this Agreement shall be universal unless limited by Ju Xing Leisure, from time to time.

3) PLATFORM’S AIM
3.1. The Platform is intended to gather the strength of all the talent sin musical arena through synergy and collaboration and to achieve a more sustainable musical industry in Malaysia and other countries.

4) MUTUAL AGREEMENT
4.1. By using the Platform, User agrees to and are bound by the terms of this Agreement;
4.2. Ju Xing Leisure reserves the right to change, add, or remove any part of this Agreement at any time at the sole discretion of Ju Xing Leisure;
4.3.Any changes to the terms and conditions or to the policies or guidelines referred to herein will be effective upon posting of such changes to the Website without notice to User; As such,it is the User’s duty to check the terms and conditions each time before using the Website;
4.4. User’s continued use of the Platform following any changes to these terms and conditions will constitute User’s acceptance of such changes; should User disagree, he should discontinue use;
4.5. Ju Xing Leisure may charge User’s credit card (or other cards as accepted by Ju Xing Leisure from time to time), for any Products and Services purchased, and for any
additional amounts (including any taxes and late fees, as applicable) as may be accrued by or in connection with the said purchase; User hereby agrees to authorize Ju
Xing Leisure to charge User’s credit card for the aforesaid purchase; User must provide a valid credit card and undertake to make timely payment;
4.6. Ju Xing Leisure has sole discretion to impose charges individually or collectively with other purchases made by User on the Platform;
4.7. User shall keep information provided by it secure and confidential;
4.8. User shall be responsible for any charges incurred on User’s behalf by any person through User’s information, regardless of whether User had authorized such purchase or not;
4.9. Ju Xing Leisure may, at its discretion, modify, suspend, or discontinue the Website (or any part or content thereof) at any time with or without notice to User, and Ju Xing Leisure will not be liable to User or to any third party should it exercise such rights;
4.10.Ju Xing Leisure reserves the right to refuse access to the Website or sale of Products or offering of streaming music for any reason, to any User. Ju Xing Leisure may terminate any ‘promotional’ activity or pricing on the Product or Services at any time;
4.11.Prices and availability of Content offered through the Website are subject to changes at any time and from time to time.Ju Xing Leisure does not provide price protection or refunds in the event of unsatisfactory usage of Product, Services or promotional offering;
4.12.Each purchase of a Download by User will be regarded as a separate transaction and each delivery of a Download will constitute a separate sale, whether delivery is in whole or partial fulfillment of an order;
4.13. By posting messages, inputting data, or engaging in any other form of communication through the Website, User agrees that Ju Xing Leisure may copy, sub‐license, adapt, transmit, publicly perform or display any such Content to provide and/or promote the Website and/or to respond to any legal requirement, claim or threat. User further agrees that Ju Xing Leisure has an unrestricted right to do so, without having to pay for anything.

5. Ju Xing Leisure’s REPRESENTATION, AGREEMENT AND UNDERTAKING
5.1. Ju Xing Leisure shall have no liability to User for Content that may be found objectionable, indecent, or offensive;
5.2. Ju Xing Leisure will not be responsible to anybody for User’s infringement of any copyright;
5.3. Ju Xing Leisure reserves the right to correct or ignore any Downloads it suspects are a result of suspicious sales behavior intended to, in Ju Xing Leisure’s sole discretion, falsely inflates ales data;
5.4.All sales are final and all charges from those sales are non‐refundable. Ju Xing Leisure will not refund any fees for Products, Services, tickets and any other items whether physical and/or digital that User charged and purchased, unless such failure is caused solely by the negligence or gross misconduct of Ju Xing Leisure;
5.5. It is possible that the Products, Services, Events, tickets, and any other priced items whether physical and/or digital may be mistaken due to typo error or other wise written wrongly. In such an event, Ju Xing Leisure reserves the right not to accept end user orders with prices based upon typographical errors;
5.6. User is responsible for paying any governmental taxes imposed on its purchases, including, but not limited to, service tax and so on;
5.7. User’s receipt of an electronic or other form of confirmation does not:
5.7.1. constitute Ju Xing Leisure ‘s offer to sell or;
5.7.2. convey Ju Xing Leisure’s acceptance of User’s purchase.
5.8. JuXing Leisure reserves the right, at its discretion, and with out prior notice to User, and for any reason, to decline User’s request for Product(s), or to supply less than the quantity ordered by User following receipt of User’s order.

6. USER’S REPRESENTATION, AGREEMENT AND UNDERTAKING

6.1. User hereby accept and abide by the terms and conditions hereof;
6.2. To solely responsible for safeguarding and maintaining the confidentiality of the User’s particulars given to the Website;
6.3. To be responsible for all activities that occur under the use of the Website and services by the User;
6.4. To immediately notify Ju Xing Leisure of any unauthorized use of User’s particulars and information pertaining to the Website and services;
6.5. To immediately notify and update Ju Xing Leisure about any changes of address and soon;
6.6. To use the Website at User’s own risk;
6.7. To allow Ju Xing Leisure to contact User at email address provided or through any of User’s social media accounts (Facebook, Twitter, Instagram, Snapchat, etc.);
6.8. Shall not attempt or participate in any attempt to decrypt, reverse engineer, circumvent or other wise alter or interfere with any software required for use of the Website or Content;
6.9. Shall not attempt, or support others’ attempts, to download, copy, distribute, alter or capture a Stream or Preview;
6.10. Except as other wise provided herein, User shall not copy, reproduce, modify, rent, lease, broadcast, download, transmit, distribute or otherwise disseminate any Services, Images, Videos, Previews, Streams or Downloads or other Content contained on the Website except for User’s own personal, non‐commercial use;
6.11. User shall not reverse engineer, de compile, disassemble, modify or disable any copy protection or use limitation system’s associated with the Downloads, Streams and/or Previews whether physical or digital;
6.12. User shall not play and then re‐digitize any Downloads, Streams and/or Previews;
6.13. User shall not create any “derivative works” by altering any of the Content, except as permitted herein or by the copyright holder;
6.14. User shall not use the Downloads, Streams and/or Previews in conjunction with any other third‐party content (e.g., to provide sound for a film) unless User obtains such rights from the copyright holder;
6.15. User shall not upload, download, stream or preview via the Website without obtaining permission from Ju Xing Leisure;
6.16. The peer‐to‐peer (P2P) file sharing is strictly prohibited. Any other manner of network file sharing and transfer of Downloads, Streams or Previews to devices for such purpose is expressly prohibited and is a violation of Malaysian and international copyright law;
6.17. User shall not attempts to sell, buy, or solicit other forms of payment in exchange for data and information belonging to Ju Xing Leisure in the Website;
6.18. User shall not use the Website (or any part of it, including but not limited to public areas) to upload, post, transmit, display, perform or otherwise make available any messages, content or materials (i) that are illegal, obscene, threatening, of a “spamming” nature, defamatory, or invasive of privacy; (ii) violate (intentionally or unintentionally) User’ s contractual, fiduciary or confidentiality obligation or duty to any third party; (iii) that constitute political campaigning or commercial solicitation or that contain software viruses or other computer code designed to interfere with the functionality of any computer system; (iv) provide links to unapproved third party sites; or (v) that infringe third‐party rights or harm minors in any way. User may not interfere with or disrupt the Website or any networks connected to or by the Website. In addition, User shall not use a false email address or otherwise mislead other users as to User’s identity or the origin of a message or content;
6.19. User shall notify Ju Xing Leisure immediately If it believes that any information or material on the Website constitutes copyright infringement;
6.20.To indemnify JuXing Leisure again stall actions proceedings loss damage suffered or brought against Ju Xing Leisure by reason of User’s usage of the Website or any particulars or information contained therein or extracted therefrom;

7. Ju Xing Leisure’s WARRANTY
7.1. Ju Xing Leisure consists of a group of musical talents who possess vast experience in the musical industry;
7.2.Ju Xing Leisure is the developer of the Platform and the owner of the source code;

8. USER’S WARRANTY
8.1. User is 18 years old and above and has power to enter into contract. If less than 18 years old, the parent or guardian must enter into this agreement on behalf of minor and be bound by the terms herein;
8.2. User, parent or guardian as referred to above is not a bankrupt;
8.3. Without obtaining consent from Ju Xing Leisure or the applicable copyright holder, and except as provided in this Agreement, no Content may be transmitted, distributed, translated, publicly displayed, uploaded, published, recorded, re-transmitted, rented, sold, distributed, digitized, endorsed, reproduced, altered to make new works, performed, or compiled in any commercial way;
8.4. User may encounter Content that may be deemed objectionable, indecent, or offensive, which content may or may not be identified as having explicit language or text, graphic designs, and/or photographs;
8.5. User shall be responsible for any hardware, systems and/or software program(s) used and any associated fees and expenses:
8.5.1. to connect to, browse or otherwise use the Internet, and/or
8.5.2. to access the Website, and/or
8.5.3. to browse, stream, download, upload, play back, or transfer the Content;

9. CHARGES AND BILLING
Ju Xing Leisure accepts Visa and Master Card (or other cards as accepted by Ju Xing Leisure from time to time) and all local e‐wallet payments. Ju Xing Leisure does not accept cash, money orders, or cheques throughout the Website. Cash, money orders and cheques are acceptable at Ju Xing Leisure’s office at Ju Xing Leisure’s discretion. Ju Xing Leisurere serves the right to change this policy at any time. User agrees to pay all fees and charges associated with its purchase(s) (including any applicable taxes), at the rates in effect when the charges were incurred. User, not Ju Xing Leisure, are responsible for any unauthorized amounts billed to User’s credit card and so on by a third party. As a cardholder, User’s card issuer agreement governs its use of the designated card, and as such, User must refer to that agreement to determine its rights and liabilities as a cardholder. Obligation to pay for Services and Product under orders previously accepted by Ju Xing Leisure will survive the termination of User’s agreement and information. Due to the nature of the service, refunds are only available in exceptional circumstances at Ju Xing Leisure ‘s management’s sole discretion;

10.CURRENCY
Ju Xing Leisure accepts Malaysia Ringgit or MYR. The currency displayed and accepted for each individual purchase is solely based on User’s territory of sale and cannot be modified by the User. In the event of purchase in bulk, User may discuss with Ju Xing Leisure as to the currency preferred ;

11. LIMITATIONS OF CONTENT USAGE AND COPYRIGHT
Ju Xing Leisure may make available certain Content. User’s access to and/or use of any Content will be limited by the rules assigned to the Content by Ju Xing Leisure (“Content Rules”) and described in this Agreement or on the Webpage where User acquires access to such Content.

12.STEMS FILE FORMAT
The Limitations of Content Usage and Copyright, as referred to above, the Prohibited Uses of Content, and any other terms and conditions that apply to standard digital downloads of sound recordings and digital imaging and video, are applicable to any Content downloaded in the Stems file format. For clarity, any digital download of a sound recording and digital imaging and video, including those in the Stems file format, other than those specifically purchased on Ju Xing Leisure platform, are provided only for User’s personal, non‐commercial use, or performance, unless otherwise specified in the Platform.

13. LOSS OF RIGHT BY Ju Xing Leisure
Ju Xing Leisure may at any time lose the right to make certain Content available. In such an event, User will no longer be able to access such Content from the Website.

14.ELECTRONIC SIGNATURE
User’s use of the Website to purchase items includes the ability to enter into agreements and/or to make purchases electronically. User agrees that any of its electronic submissions/purchases constitute User’s intent and agreement to be bound by the terms of this Agreement and to pay for such purchases. User’s agreement and intent to be bound by electronic submissions applies to all records relating to all transactions entered by User into on the Website, including notices of cancellation, policies, contracts, and applications.

15.COMMUNITY FEATURE / PUBLIC AREAS
The Website may contain features designed to help users, clients, labels or brands find and/or exploit Content of personal interest by creating landing pages, public profiles, generating short URLs and/or viewing Content that other users or artists have sampled, streamed, uploaded and/or downloaded. These features may include access to a user’s most recently played list and access to a user’s collection of Content. Further, Ju Xing Leisure may feature message boards, comment areas, and/or chat rooms that allow for communication and posting of public profiles between users of the Website. The public areas are offered on a read only basis until a user has the ability to post messages int he various forums. Ju Xing Leisure has the right, but not obliged, to monitor, edit or remove any content in such public areas, or to restrict access to other members to view the User’s music, video, content collection or public profiles. Ju Xing Leisure is not responsible and assumes no liability for any activity, content, messages and the like that User posts to a public area or a public profile, or send to another user.

16. Ju Xing Leisure NAME AND INFORMATION POLICY
No 2 users can have the same information on the Website. Ju Xing Leisure will not typically intervene in information disputes. Disputes should be resolved between the parties. However, Ju Xing Leisure reserves the right, in its sole discretion, to permanently remove, reassign, or ask a User to modify his/her name and/or information in situations where:
16.1. data and/or information has been inactive for a period of time;
16.2. Ju Xing Leisure determines that information and/or data is offensive, commercial in nature, in violation of, or a derivation of, a third party’s trademark or service mark, or is determined by Ju Xing Leisure to be otherwise misleading;
16.3. Ju Xing Leisure suspects that a User’s data and/or information is being squatted; 16.4. the known used name and information is that of a more established, well‐known entity, individual, brand, etc., and Ju Xing Leisure’s decision not to reassign the information will lead to consumer confusion; and
16.5. Ju Xing Leisure has determined, in its own discretion, the situation is such that removing or reassigning the data and information is most appropriate under the circumstances.

17.USER CONTENT
17.1. Ju Xing Leisure may permit Users to create customized landing pages and post or upload content, including mixes, tracks, playlist compilations, performances, videos, pictures, messages, texts, logos, and other content made available by individual artists, labels, brands, and/or users for the purpose of sharing with Ju Xing Leisure Users via Streaming or otherwise (“User Content”). Users are solely responsible for any ‘User Content’ they may provide and for any consequence thereof. By uploading User Content, User represents and warrants that:‐ (i) User owns or otherwise controls all applicable rights to the User Content; (ii) has the necessary rights to post, upload, transmit or display the User Content on the Website, and; (iii) such User Content, or its use as contemplated by this Agreement, does not:(a)violate this Agreement, applicable law, or the intellectual property or publicity rights of others; (b) imply an affiliation, endorsement, approval or cooperation with User or User’s “User Content” by Ju Xing Leisure or any unwilling, or unknowing, third‐party, without that party’s express written consent, or (c) cause injury to any person or entity.
17.2. User agrees to defend indemnify and hold harmless Ju Xing Leisure, its partners, parent company, subsidiaries, agents, affiliates and/or licensors, as applicable, for all claims resulting from User Content.
17.3. User agrees that any loss or damage of any kind that occurs as a result of the use of any User Content uploaded, posted, transmitted, displayed by User or otherwise make available through User’s use of the Website is solely User’s responsibility.
17.4. The rights granted herein shall inure for so long as the User Content is provided by User on the Website. Except from those rights specifically granted by herein, User shall retain ownership of all rights, including intellectual property rights, in the User Content that User posts on the Website.
17.5. User acknowledges that no payments shall be made to User for the User Content, except as maybe provided under a separate Agreement between User and Ju Xing Leisure. JuXing Leisure reserves the right to remove any User Content, for any reason or no reason at all, including, but not limited to, copyright violations, derogatory or offensive content, User Content that is deemed to be a third‐party advertisement or promotional in nature, or User Content that violates this
Agreement. Ju Xing Leisure reserves the right to terminate any user(s) who are  repeat offenders of this copy right policy. Ju Xing Leisure does not monitor, review, edit, or endorse User Content.

18.COPYRIGHT
All copyrights in and to the Website, including, but not limited to, Ju Xing Leisure (including the compilation of content, postings, profiles and pages, links to other Internet resources, and descriptions of those resources), are owned by Ju Xing Leisure and/or its licensors. The use of the Website, or any Content on the Website, except for use as expressly permitted in this Agreement, is prohibited and subject to civil and criminal penalties, including possible monetary damages, for copyright infringement. All rights not expressly granted to User in this Agree mentor Supplementary Agreement or letter are reserved to Ju Xing Leisure and/or its licensors.

19.TRADEMARKS ‐ All trademarks, service marks, trade names, slogans, logos, and other indicia of origin that appear on or in connection with the Website are the property of Ju Xing Leisure and/or its affiliates or licensors. User shall not copy, display or use any of the semarks without prior written permission of the mark owner.

20. IOLATION OF INTELLECTUAL PROPERTY RIGHT
All rights of the authors of the works protected, reproduced and communicated on this site are reserved. Unless authorized, any use of the works other than for the purpose of individual and private reproduction and use is prohibited. If Ju Xing Leisure receives a notice alleging that User had engaged in behavior that infringes Ju Xing Leisure ‘s or an other’s intellectual property rights or reasonably suspects the same, Ju Xing Leisure may suspend or terminate User’s Account without notice to the User,and shall have no liabilities to the User,past or present,for suspension ro termination under this paragraph.

21.ENFORCEMENT
Ju Xing Leisure reserves the right to enlist and take measures that Ju Xing Leisure believes are reasonably necessary to enforce, or appropriate to enforce, or verify compliance with any part of this Agreement (including but not limited to Ju Xing Leisure ‘s right to cooperate with any legal process relating to User’s use of the Website and/or Content, and/or a third party claim that User’s use of the Website and/or Content is unlawful and/or infringes such third party’s rights). User agrees that Ju Xing Leisure has the right, without liability or notice to User, to disclose any Registration Data/Account information to law en for cement authorities, government official, and/or third party, as Ju Xing Leisure believes is reasonably necessary or appropriate to enforce and/or verify compliance with any part of this Agreement (including but not limited to Ju Xing Leisure ‘s right to cooperate with any legal process relating to User’s use of the Website and/or Content,and/or a third party claim that User’s use of the Website and/or Content is unlawful and/or infringes such third party’s rights).

22.NO RESPONSIBILITY FOR THIRD PARTY MATERIALS OR WEBSITES
The Website may include Products, Content, and services from third parties available via the Website. Ju Xing Leisure may include links to third party websites, which are provided solely as a convenience to User. Ju Xing Leisure assumes no liability or responsibility for third‐ party materials or websites, and User acknowledges and agrees that Ju Xing Leisure is not responsible for evaluating or examining the content or accuracy of any such third‐party material or websites.

23.INDEMNITY AND WAIVER ‐ By using the Website User agrees to defend, indemnify and hold harmless Ju Xing Leisure and its agents, executives, employees, directors, contractors, representatives, licensors, technology providers, affiliates, parents and subsidiaries from and against any and all claims,losses, demand, causes of action and judgments (including fees and costs) arising from or concerning User’s breach of this Agreement and User’s use of the Website or the Content and to reimburse them on demand for any losses, costs or expenses they incur as a result thereof. User shall not sue or seek to recover any damages or other payment from Ju Xing Leisure and its agents, executives, representatives, employees, Licensors, affiliates, content and technology providers, and any parent or subsidiary company as a result of its decision to terminate or suspend the Agreement and service hereunder.

24.GOVERNING LAW ‐ The laws of Malaysia shall govern this Agreement and User’s use of the Website.

25.DISCLAIMERS AND LIMITATIONS OF LIABILITY
25.1. User agrees that from time to time Ju Xing Leisure may remove the Website, or portions of the Website, for indefinite periods of time, or cancel the Website,
or portions of the Website, at any time, with or without notice to User;
25.2. Ju Xing Leisure makes no warranty that any particular CD/DVD/Blu‐Ray disc, or any other forms, burner, browser, computer platform/software or portable device will be compatible with the Website or any Content offered on the Website;
25.3. Under no circumstance shall Ju Xing Leisure be liable for any unauthorized use of the Website or its Content;
25.4. To the extent that in a particular circumstance any disclaimer or limitation on damages or liability set forth herein is prohibited by applicable law, then, instead of the provisions hereof in such particular circumstance, Ju Xing Leisure shall be entitled to the maximum disclaimers and/or limitation on damages and legality available at law or in equity by such applicable law in such particular circumstance, and in no event shall such damages or liability exceed RM100.00 only;
25.5. All Content on this Website is provided to User on an “as is where is” basis without warranty of any kind either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non‐infringement;
25.6. Ju Xing Leisure makes no warranty as to the accuracy, completeness, currency, or reliability of any content available through the website;
25.7. User is responsible for verifying any information before relying on it and is not relying on representation by Ju Xing Leisure. Use of the Website and the Content available on the Website is at User’s sole risk;
25.8 Ju Xing Leisure makes no representations or warranties that use of the website will be uninterrupted or error‐free;
25.9. User is responsible for taking all necessary precautions to ensure that any content the User may obtain from the Website is free of viruses;
25.10. Ju Xing Leisure specifically disclaims any liability, whether based in contract, tort, strict liability or otherwise, for any direct, indirect, incidental, consequential, or special damages arising out of or in any way connected with access to or use of the website, even if Ju Xing Leisure has been advised of the possibility of such damages, including but not limited to reliance by any party on any content obtained through the use of the website, or that arises in connection with mistakes or omissions in, or delays in transmission of, information or content to or from the user, interruptions in telecommunications connections to the website or viruses, whether caused in whole or in part by negligence, acts of God, telecommunications failure, theft or destruction of, or unauthorized access to the website, or related information or programs.

26.SPECIAL CONDITIONS
By using Ju Xing Leisure Sounds or purchasing or downloading any Sounds Product, User is agreeing to be bound by the Sounds Terms herein. If User does not wish to be bound by the Sounds Terms herein, User shall be refrained from using Ju Xing Leisure Sounds or downloading or purchasing any Sounds Product.

26.1. SOUND TERMS AND CONDITION
The Sounds Terms are applicable for all purchases made on the Ju Xing Leisure Sounds section of the Website and on Sounds to Sample, located under the designated domain (collectively “Ju Xing Leisure Sounds”). These Sounds Terms may be applicable to purchases made on any other portion of the Website. All of the general terms and conditions set forth above are incorporated herein. If there is any conflict between those general terms and conditions and the Sounds Terms herein, the Sounds Terms shall prevail (for Ju Xing Leisure Sounds purchases only);

26.2. SOUND PRODUCT LICENCE
This is a non‐ exclusive, non‐transferable, terminable license agreement between User and Ju Xing Leisure. Upon User’s purchase or download of any Sounds Product and subject to User’s compliance with these Sounds Terms and the general terms and conditions, User is granted a royalty free, non‐exclusive license in the purchased loops, samples, sound effects, and/or patches, or any variations thereof, both singularly and as collections (collectively “Sounds Product”) for commercial and non‐ commercial use exclusive lying derivative work created by User. User’s receipt of such purchase shall act as User’s license in the Sounds Product. All Sounds Products remain the property of Ju Xing Leisure or its Licensor (the“Copyright Holder”) and are licensed to User only for use in the creation of a live or recorded performance that includes the licensed samples as part of a derivative musical or visual work created by User, the licensed end user. User is not the Copyright Holder. User’s use of the Sounds Product is permitted without first obtaining a separate license from the Copyright Holder provided that User modifies the samples within a musical or visual context and do not present them isolated. Likewise, any Sounds Product which is a rhythm loop sample must also be combined with other types of samples or sounds to effectively form a new composition or derivative work, in a manner that is clear and distinct from the isolated rhythm loop itself.
26.3. NON‐ TRANSFERABLE ‐ This non‐exclusive license is granted for a single User only, on a global basis, for the full copyright protection period (unless earlier terminated) and is not transferable. Only the original purchaser of the Sounds Product has the right to embody and utilize the Sounds Product within their derivative work. This license expressly forbids the copying, lending, duplicating, sub licensing, trading, resale, rental, loan, gift or transfer of any part of the Sounds Product or a copy thereof, in any format or via any medium, to another person or company, except in accordance with a permitted use contained herein in a derivative work created by User. User may not electronically transfer the Sounds Product or place the Sounds Product in a file‐sharing or service bureau operation or a computer/sampler network. The purchased Sounds Product may not be included, whether modified or as part of a derivative work, in any musical library or sample library product. Any unlicensed usage will be prosecuted to the maximum extent possible by law.
26.4. TERMINATION ‐ Ju Xing Leisure may terminate User’s rights in a purchased Sounds Product upon written notice to User if it believes User has breached any of the Sounds Terms. Upon such termination User must return, destroy, remove, and cease all use of the identified purchased Sounds Product. No refunds shall be granted for such terminations.
26.5. INDEMNITY ‐ User agrees to defend, indemnify and hold Ju Xing Leisure harmless from and against any actions, proceedings, loss, damages, claims, liabilities, costs and expenses, brought against or incurred by Ju Xing Leisure, including reasonable legal fees, arising out of User’s breach of the Sounds Terms hereof and/or misuse, deliberate or otherwise of the Sounds Product, and/or violation of the rights purchased pursuant to this Agreement
